1. Introduction

These Terms of Service ("Terms") govern your access to and use of the ZAP Email Signature Manager platform ("Service"), operated by ZAP Analytics ("ZAP", "we", "us", or "our"), accessible at zapanalytics.net and app.zapanalytics.net.

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

ZAP provides a cloud-based email signature management platform that enables organizations to create, manage, and deploy professional email signatures across their workforce. The Service integrates with Microsoft 365 (Outlook) and Google Workspace (Gmail) to centrally manage signature deployment.

Key features include:

  • Visual signature builder and template management
  • Centralized deployment to Microsoft 365 and Gmail accounts
  • User directory synchronization via Microsoft Graph API and Google APIs
  • Group-based signature assignment and management
  • Analytics and tracking capabilities

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information including a valid email address and organization details. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from unauthorized use of your credentials.

4. License and Access Rights

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription period.

This license does not include the right to:

  • Sublicense, resell, or redistribute the Service to third parties
  • Modify, adapt, reverse engineer, or create derivative works of the Service
  • Use the Service to build a competing product or service
  • Remove or alter any proprietary notices or branding

5. Acceptable Use

You agree not to use the Service to:

  • Distribute spam, malware, phishing content, or unsolicited communications
  • Transmit content that is unlawful, defamatory, obscene, fraudulent, or harmful
  • Violate any applicable laws, regulations, or third-party rights
  • Interfere with the operation, security, or integrity of the Service
  • Attempt to gain unauthorized access to other accounts, systems, or networks
  • Use automated tools to scrape, crawl, or extract data from the Service

We reserve the right to suspend or terminate accounts that violate these acceptable use standards, with or without prior notice.

6. Subscription and Fees

The Service is offered through subscription plans as described on our pricing page. All fees are quoted in US Dollars unless otherwise stated.

  • Free Trial: New accounts receive a 14-day free trial with access to core features. No payment information is required during the trial period.
  • Billing Cycle: Paid subscriptions are billed on a recurring monthly or annual basis, depending on the plan selected.
  • Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
  • Refunds: Fees are generally non-refundable. If you cancel mid-cycle, you will retain access through the end of the current billing period.
  • Taxes: You are responsible for any applicable taxes, duties, or government levies associated with your use of the Service.

We reserve the right to modify pricing with 30 days advance notice. Existing subscriptions will be honored at the current rate until the next renewal period.

7. Third-Party Integrations

The Service integrates with third-party platforms including Microsoft 365, Google Workspace, and payment processors. By connecting these integrations, you agree to the respective terms of service and privacy policies of those providers.

We are not responsible for the availability, accuracy, or practices of third-party services. Changes to third-party APIs may affect the functionality of our integrations.

8. Data and Content Ownership

Your Content: You retain all ownership rights to the content you create, upload, or manage through the Service, including signature designs, images, and employee data. You grant us a limited license to process, store, and display this content solely for the purpose of providing the Service.

Our Service: All intellectual property rights in the Service, including software, design, documentation, and branding, remain the exclusive property of ZAP Analytics. Nothing in these Terms transfers any ownership of the Service to you.

9. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to data practices described in the Privacy Policy.

When you use the Service to manage employee data or deploy signatures, you act as the data controller and are responsible for ensuring you have appropriate consent and legal basis for processing personal data of your employees through the Service.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.

We will make reasonable efforts to provide advance notice of scheduled downtime. We are not liable for any losses resulting from temporary service interruptions.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ZAP Analytics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount paid by you for the Service during the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your specific requirements, that signatures will render identically across all email clients, or that all third-party integrations will function without interruption.

13. Indemnification

You agree to indemnify and hold harmless ZAP Analytics, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

Either party may terminate the subscription at any time. Upon termination:

  • Your access to the Service will cease at the end of the current billing period
  • Deployed signatures will remain in users' email accounts but will no longer be managed by the Service
  • We will retain your data for 30 days following termination, after which it may be permanently deleted
  • You may request an export of your data prior to account deletion

We may suspend or terminate your account immediately if we determine that you have violated these Terms or engaged in activity that harms the Service or other users.

15. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law.
